1. Services

KUNDA HOUSE LIMITED trading as ByVeya provides creative design and development services including but not limited to:

• Web design and development
• Mobile application development
• UI/UX design services
• Brand identity and logo design
• Digital marketing solutions
• Ongoing maintenance and support

2. Client Responsibilities

• Provide accurate and complete project requirements
• Supply necessary content, images, and materials in a timely manner
• Respond to communications and feedback requests within agreed timeframes
• Make payments according to the agreed schedule
• Ensure all provided content is legally owned or properly licensed

3. Payment Terms

• Project costs are outlined in individual project proposals
• Payment schedules vary by project size and are agreed upon before commencement
• Late payments may incur additional fees
• Refunds are considered on a case-by-case basis
• All prices are exclusive of applicable taxes unless stated otherwise

4. Intellectual Property

Upon full payment, clients receive ownership of the final deliverables. KUNDA HOUSE LIMITED trading as ByVeya retains:

• Rights to general methodologies, techniques, and know-how
• Rights to showcase completed work in our portfolio
• Rights to any pre-existing intellectual property or tools

5. Project Timeline and Revisions

• Project timelines are estimates and may vary based on client feedback and scope changes
• Each project includes a specified number of revision rounds
• Additional revisions beyond the agreed scope may incur extra charges
• Significant scope changes will require a new project agreement

6. Confidentiality

We respect client confidentiality and will not disclose sensitive business information without explicit consent. Clients are encouraged to discuss any specific confidentiality requirements before project commencement.

7. Limitation of Liability

KUNDA HOUSE LIMITED trading as ByVeya's liability is limited to the total amount paid for the specific project. We are not liable for indirect, consequential, or incidental damages arising from our services or any delays in delivery.

8. Termination

Either party may terminate the agreement with written notice. Payment is due for all work completed up to the termination date.

9. App Description and Functionality

ByVeya SEO Manager connects your Wix site to the ByVeya client portal, enabling:

• Synchronisation of Wix site contacts into the ByVeya CRM
• Publishing of SEO-optimised blog posts directly to your Wix blog from the ByVeya dashboard
• Injection of scripts, schema markup, analytics snippets, and marketing pixels into your Wix site
• Safe disconnection from the ByVeya platform without affecting live site content

10. OAuth Authorisation and Data Access

When you install the ByVeya SEO Manager, you authorise us through Wix's OAuth 2.0 flow to access certain data from your Wix site. Specifically, the app requests only the permissions required to deliver its core functionality:

• Contacts: Read and write access to your site's Contacts to sync them into the ByVeya CRM
• Blog: Ability to create and update blog posts on your Wix site
• Site Scripts: Ability to add and manage embedded scripts on your site
• Site Metadata: Read access to your site name, URL, and locale settings

We do not access data beyond the scopes you authorise. You may revoke access at any time by uninstalling the app or disconnecting from within the ByVeya client portal.

11. Data Processing and Storage

• Contact data synced from your Wix site is stored securely in the ByVeya platform, hosted on infrastructure compliant with UK and EU data protection standards
• OAuth access tokens are encrypted at rest and in transit
• We do not sell, rent, or share your Wix site data with third parties except as required to deliver the app's functionality (e.g. calling Wix APIs on your behalf)
• Data is retained for as long as the app remains installed and connected. On disconnection or uninstall, you may request deletion of all synced data by emailing support@byveya.com

12. Blog Publishing

Blog posts published via the ByVeya dashboard to your Wix site are done on your behalf using your authorised credentials. You are responsible for:

• Reviewing and approving content before it is published to your live site
• Ensuring published content complies with applicable laws, Wix's terms of service, and your own content standards
• Any SEO metadata, schema markup, or structured data included in published posts

13. Script Injection

The app may inject scripts (including analytics, schema markup, and marketing tracking pixels) into your Wix site. You acknowledge that:

• Scripts are injected only with your approval via the ByVeya dashboard
• You are responsible for ensuring any injected third-party scripts comply with applicable cookie and privacy laws (including UK GDPR and the ePrivacy Directive)
• ByVeya is not liable for the actions or data collection practices of third-party scripts you choose to inject

14. App Availability and Support

• We aim for high availability but do not guarantee uninterrupted access to the app or ByVeya platform
• Planned maintenance will be communicated where reasonably possible
• Support is available via support@byveya.com during UK business hours (Monday–Friday, 9am–5pm GMT)

15. Wix Platform Terms

Your use of Wix is subject to Wix's Terms of Use. These Terms do not modify or replace your obligations under Wix's own policies. ByVeya is an independent third-party developer and is not affiliated with or endorsed by Wix.com Ltd.

16. App Uninstallation

You may uninstall the ByVeya SEO Manager at any time from your Wix dashboard. Upon uninstallation, the app will stop accessing your site's data. Any blog posts, scripts, or other content already published to your Wix site will remain in place and must be manually removed if desired. To request deletion of all ByVeya-held data, contact us at support@byveya.com.

17. Nature of Formation Engine Websites

• Formation Engine websites are subscription websites hosted and managed by KUNDA HOUSE LIMITED trading as ByVeya. They are not sold to you as standalone software products.
• You receive a licence to use the website we generate for your business for as long as your subscription remains active and fees are paid.
• All underlying templates, layout systems, content generation logic, and technical infrastructure remain our intellectual property. You are granted a non-exclusive, non-transferable licence to use the website for your own business purposes.

18. Ad-Supported and Ad-Free Plans

Formation Engine websites are offered on a tiered plan model:

• On certain starter or entry-level plans, your website will be ad-supported. This means we may place third-party adverts (for example, Google AdSense, Meta Audience Network, or similar advertising partners) within your website layout.
• On professional or higher plans, your website will be ad-free as part of the subscription.
• Where your plan includes advertising, you may normally upgrade to an ad-free plan or add-on at any time. Downgrading from an ad-free plan to an ad-supported plan may result in adverts being re-enabled after any applicable notice or billing period.

The applicable plan type (ad-supported or ad-free) will be made clear to you in the pricing information and/or claim funnel for your Formation Engine website.

19. Advertising Monetisation

• For ad-supported plans, you expressly authorise us to insert and manage advertising code on your Formation Engine website, including but not limited to Google and Meta advertising technologies and other comparable ad networks.
• All revenue generated from such adverts is retained by KUNDA HOUSE LIMITED trading as ByVeya. You have no entitlement to any share of advertising income arising from our use of these placements.
• We will use reasonable efforts to avoid showing adverts that directly compete with your own core products or services, but we cannot guarantee that no competing advertisers will ever appear.
• We may adjust the placement, format, and mix of adverts over time in order to comply with platform policies (for example, Google AdSense policies), improve performance, or protect user experience.

20. Tracking, Cookies, and Consent

• Advertising technologies used on Formation Engine websites may rely on cookies, pixels, or similar identifiers to measure performance, prevent fraud, and deliver more relevant adverts.
• You acknowledge that the use of such technologies on your website is subject to applicable privacy and electronic communications laws (including UK GDPR and the Privacy and Electronic Communications Regulations) and that a suitable cookie and consent mechanism must be presented to visitors where required.
• We will provide a reasonable default implementation of a consent mechanism for Formation Engine websites, but you remain responsible for ensuring that the final configuration and wording are appropriate for your particular business and audience. 21. Account, Website and Data Deletion

If you no longer wish to use your Formation Engine website, you may cancel your subscription and request that we delete your account and associated data. You can normally do this from within your client portal profile area or by contacting us using the details below. Once your subscription ends, any live website we host for you under the Formation Engine will be taken offline in line with our off-boarding processes.

Unless we are required to retain certain information for legal or regulatory reasons, we will delete or irreversibly anonymise your personal data in accordance with our Privacy Policy.

22. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved through appropriate legal channels in that jurisdiction.

23. Changes to These Terms

We reserve the right to update these Terms at any time. Significant changes will be communicated to existing clients and app users. Continued use of our services or app constitutes acceptance of the updated Terms.
